General Conditions of Sale

 

These General Conditions of Sale regulate the purchase via the internet of the products presented on the site www.carandini.it belonging to Acetificio Carandini Emilio SPA, a company with headquarters in Via per Formigine 54/A, Castelvuovo Rangono (MO) registered in the company register REA n. MO n.247721, P.IVA 01858700360, email info@carandini.it in hereinafter referred to as “Seller”.

 

1) Purchase procedures and acceptance of sales conditions

All distance purchase contracts for our products are concluded directly through access by the customer/consumer (hereinafter simply "Customer") to the site www.carandini.it (hereinafter simply "Site"). The user may select the products displayed in the sales catalogue, as described in the respective product information sheets, and conclude the contractual purchase agreement for the desired product(s) by adding them to the "shopping cart" function, which then involves forwarding the order to the seller by expressing consent by clicking the "buy and pay" button.

The agreement between the parties is finalized upon the submission of the order and the Seller's receipt of payment for the ordered goods. Payment for the goods constitutes an essential part of the purchase contract; failure to receive payment by the Seller will result in the cancellation of the purchase contract and the consequent loss of the obligation to ship the goods.

Payment for the goods, for the purpose of concluding the purchase contract, must be made exclusively through one of the methods indicated in the following paragraph 3.

The order sent by the Customer to the Seller through the Website must be completed in its entirety and must contain the necessary information to identify the Customer and the products ordered, as well as the delivery address. Otherwise, the order will be invalid. The Seller will send the Customer an order confirmation email.

As established by art. 48 D.lgs 206/05, the general conditions must be read and approved by the Customer before concluding the contract. By submitting the order, the Customer simultaneously declares that he or she has read all the information provided during the purchase process and fully accepts these general conditions of sale.

If the Customer is a consumer (i.e., a natural person purchasing the goods for purposes not related to their professional activity), once the online purchase procedure has been completed, they will print or save an electronic copy and in any case retain these general conditions of sale, in compliance with the provisions of Italian legislation regarding distance contracts. 

The relevant document or, if requested, the invoice certifying the sale of the product(s) will be delivered together with the goods and/or by e-mail to the address indicated by the Customer when arranging the departure of the goods.

2) Products, prices and additional costs

The visual representation of the products on the Site, where available, is intended to illustrate the product and corresponds to the photographic image representing the product's characteristics, however it may be slightly different in color.

If a product is displayed on the Site in areas other than the specific sections intended for product purchases or without the "add to cart" icon, it is considered unavailable for sale through the Site. Product unavailability is considered temporary until further supplies are obtained.

All product prices are clearly indicated on the Site and refer to the unit price per package including VAT. The Site can only accept orders for delivery within Italy, the following European countries: Austria, Belgium, Croatia, Denmark, France, Germany, Finland, Greece, Ireland, Luxembourg, Monaco, the Netherlands, Portugal, Spain, Sweden, the United Kingdom, Bulgaria, Cyprus, the Czech Republic, Estonia, Hungary, Latvia, Lithuania, Malta, Poland, Romania, Slovakia, Slovenia, and the following non-EU countries: Norway, Switzerland, Montenegro, Serbia, Ukraine, Liechtenstein, Albania, Andorra, and Bosnia. & Herzegovina.

The seller reserves the right to change product prices and shipping costs at any time and without notice. However, the terms and conditions of sale in effect at the time the order is placed will apply to orders currently being accepted or already accepted by the seller (for which payment for the ordered goods has already been received). This excludes orders that have not been accepted (orders for which the customer has not received confirmation of receipt of the order by email) and orders that have been rejected.

Shipping costs are clearly listed separately for the customer in the "Shopping Cart" section before confirming the purchase. The customer can review them before submitting the order and, if they deem it appropriate, can abandon the purchase without any obligation to pay.

The cost of each shipment may vary depending on several factors: the number of products purchased, the weight, and the size of the packaging.

Shipping costs are intended to be up to the ground floor of the destination indicated by the customer when placing the order and are listed separately in the shopping cart under the "Shipping Total" heading.

Any additional costs—including, but not limited to, customs fees, currency fluctuations, etc.—will be communicated to the Customer by email by the courier before the goods are shipped. If the Customer refuses to accept the additional costs indicated by email, the order will be considered cancelled and the contract will be null and void.

Any additional charges may arise, these may relate to bank fees established by individual Customers' agreements with their credit card issuers or banks. These charges are not directly dependent on the Seller, who cannot be held liable in any way.

3) Payment methods

Payment must be made exclusively in Euros.

The payment methods supported and accepted by the site are:

  1. Credit cards: By selecting this payment method, the customer's browser is automatically redirected to the payment site, displaying the order summary and the necessary parameters to complete the transaction. The browser connects to a page containing a form where the customer must enter their credit card details or preferred payment method. Once the payment transaction is complete, the user can be redirected to the seller's site or choose to continue browsing.
  2. PayPal: This system allows you to make online transactions (purchases, payments, and bank transfers) without sharing your card or bank account information with the recipient. To use PayPal, you must register on the site and open an account. You can link a credit card or prepaid card to it, or top up your funds via bank transfer. The Customer is required to send payment via one of the methods listed to correctly complete the order.

The Seller does not have internal security systems for managing online payments; this activity is delegated to the two portals that handle transaction management, Stripe and PayPal.

4) Shipping and collections

Deliveries will be made as soon as possible after receipt of payment via the courier indicated by the Seller. The goods will be shipped from the Castelnuovo Rangone (MO) factory.

Order processing times can vary from 48 hours after order placement to a maximum of 10 business days after order confirmation. If the Seller is unable to ship within this timeframe, the Customer will be promptly notified.

The risks arising from the transport of the goods are borne by the Seller until delivery takes place. The risk will be transferred to the Customer upon delivery of the products to the Customer, or to the person designated by the Customer to receive the goods, by the forwarding agent.

The goods are packaged directly by the manufacturer, in appropriately sealed cardboard boxes. Delivery times for ordered goods are purely indicative and may be subject to change due to force majeure, traffic and road conditions in general, or by order of the authorities.

The courier will make a first and second delivery attempt for each shipment. If the customer is absent, they will leave a note with tracking information and will retry delivery on the next available working day. The Customer must arrange for collection of the products by making themselves available. The Customer acknowledges that collection of the products is an obligation arising from the sales contract concluded with the Seller. Therefore, if the courier's second delivery attempt is also unsuccessful, the contract will be automatically terminated pursuant to art. 1456 of the Italian Civil Code, with a simple communication from the Seller sent via email to the Customer, and the order will therefore be cancelled for all purposes. Within 15 days of the aforementioned communication, the Seller will then proceed to refund the total amount paid by the Customer for the products, less the costs of the failed shipment, the costs of returning the products to the Seller and any other costs that the Seller has incurred due to the failed delivery caused by the absence or inertia of the Customer in fulfilling the obligation to accept the delivery.

 

The refund due as per the previous paragraph will be credited to the same payment method used by the Customer.

 

Once the refund has been made as described, if the Customer wishes to request delivery of the products, he or she will necessarily have to place a new order.

 

5) Product defects and returns

Upon receipt of the Products, the Customer is required to verify their conformity with the order, paying particular attention to the following:


- the number of packages indicated on the carrier's letter corresponds to the number of packages actually delivered;


- the packaging is intact and not damaged or tampered with.
Any anomalies (such as, for example, tampering, damage to the packaging) must be specifically indicated in writing directly on the courier's transport document, and the Customer must refuse delivery. At the same time, the Customer will be required to report the incident to the Seller's Customer Service, by immediately and promptly reporting it to customerservice@carandini.it

All communications sent by email pursuant to the General Conditions will be sent to the address provided by the Customer during Login.

 

7) Applicable law and competent court

The sales contract concluded pursuant to the General Conditions is governed by Italian law.

Any dispute arising from the interpretation of the General Terms and Conditions and the performance of the contract concluded pursuant thereto shall be subject to the jurisdiction of the court of the User's place of residence or domicile, if the User is a consumer resident or domiciled in Italy. If the User is not resident or domiciled in Italy, any dispute arising between the Seller and the Customer regarding the interpretation of the General Terms and Conditions and the performance of the contract concluded pursuant thereto, in the event of an action brought by the Seller, the latter may choose between the Court of Modena and the Court of the Customer's place of residence or domicile, as an alternative. In the event of an action brought by the Customer, the Court of Modena shall have exclusive jurisdiction.

 

8) Privacy

Pursuant to art. 13 of Community Regulation 679/2016/EU Iperal S.p.A. processes the data provided by the Customer in compliance with the legislation on privacy data as further specified in the privacy policy on the site in the "Privacy Policy" section.

 

9) Organization, Management and Control Model pursuant to 231/2001

The Customer declares to be aware that Acetificio Carandini has adopted and implements an Organisation, Management and Control Model pursuant to Legislative Decree 231/01, with the relevant Code of Ethics and Disciplinary System which he declares to have read from the company website and which he declares to have understood.

The Customer declares to adhere to the principles of the aforementioned Organisation, Management and Control Model as well as its annexes and undertakes to respect its contents, principles and procedures and, in general, to refrain from any behavior aimed at configuring the hypotheses of offense indicated in Legislative Decree 231/01 and its subsequent amendments and additions and reported in the aforementioned Organisation, Management and Control Model.

The Customer also undertakes to respect all the principles contained in the aforementioned documentation and the behavioral protocols envisaged by the Seller pursuant to Legislative Decree 231/2001, relieving the latter from any legal, economic and legal consequences that may derive from the violation of the same.

10) Billing
For all users who wish to receive an invoice after purchasing, it is mandatory fill in the Codice Fiscale/Tax Number/VAT Number field on the screen after checkout.
